1. Description of Service

QuoteToSpec provides a platform that automates the creation of submittal packages from supplier quotes for the construction and MEP (Mechanical, Electrical, Plumbing) industries. Our service includes a web application and various subscription tiers (Free Trial, Starter, Pro, and Enterprise).

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract in your jurisdiction to use QuoteToSpec. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To access most features of QuoteToSpec, you must register for an account. We use third-party services (such as Supabase) to manage authentication. You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions, Pricing, and Payments

QuoteToSpec offers tiered pricing plans, including Free Trial, Starter, Pro, and Enterprise.

• Quotas and Processing Units: Each plan has specific quotas. If you exceed your quota, you may be required to upgrade your plan or pay overage fees.
• Payments: All fees are non-refundable unless otherwise required by law. We reserve the right to change our pricing upon reasonable notice, which will apply to your next billing cycle.

5. User Content and Data

“User Content” refers to the quotes, documents, and data you upload to the Service for processing.

• Ownership: You retain all ownership rights to your User Content.
• License: By uploading User Content, you grant QuoteToSpec a non-exclusive, worldwide, royalty-free license to parse, process, and analyze the content solely for the purpose of providing the Service.
• AI Processing: You acknowledge that QuoteToSpec uses third-party AI models (e.g., Claude, Gemini) to extract and process data from your User Content. Please do not upload sensitive or personally identifiable information not intended for such processing.

6. Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to hack, reverse engineer, or compromise the integrity of the QuoteToSpec platform.
• Share your account credentials or bypass our quota enforcement mechanisms.
• Upload malicious code, viruses, or spam.

7. Intellectual Property

All design, text, graphics, UI/UX, software, and the underlying algorithms (including our AI extraction and scraping engine) are the exclusive property of QuoteToSpec and its licensors. You may not copy, modify, or distribute our intellectual property without express written permission.

8. Disclaimer of Warranties

Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available” basis. QuoteToSpec expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee 100% accuracy in extracting specifications or locating documents.

9. Limitation of Liability

In no event shall QuoteToSpec, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; or (iii) unauthorized access, use, or alteration of your transmissions or content.

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any material changes via email or an in-app notification. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of your applicable legal jurisdiction, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service will be resolved in the applicable courts of that jurisdiction.
